Terms of ServiceThe terms and conditions set forth below (“Terms”) govern your participation as a User (“User”, “User’s”, “You”, “Your”) in the Uvisor Corporation (“Uvisor”) services, which includes the use of the resume matching software, Uvisor.com, job search engine, Uvisor professional profile, user account functionality and any and all Uvisor branded tools on the Uvisor.com website (http://www.uvisor.com/MyUvisor/Tools), which are collectively known as “Uvisor Features”, “Site”, and/or “Features”. All terms set forth in this document are legally binding to the user and apply upon usage of any Uvisor Features. If you do not agree with any of the Terms set forth, do not use any Uvisor Features. Uvisor retains the right and absolute discretion in allowing a User to utilize any and all Uvisor Features which it provides. Should any of the Terms of this agreement be breached or improperly manipulated, Uvisor reserves the right to disable the profile and/or block access to Uvisor Features from the User. Uvisor has the right to set up to an indefinite term for which a User may be blocked from such Uvisor Features. User agrees that Uvisor may, at any time, make changes to the Terms set forth as well as any Uvisor Features without any notice. Uvisor will notify the user of any modifications to the Terms by posting an updated version of the Terms at http://www.uvisor.com/terms-of-service. The User is responsible for regularly reviewing the Terms. The User’s continued use of Uvisor Features shall constitute your consent to such changes. Certain parts of Uvisor Features may include additional terms of service which the User must agree to in order to use that feature and/or functionality. All of these are referred to as “Additional Terms”. Where Additional Terms apply to Uvisor Features, these will be accessible for the User to read within or through the use of that Uvisor Feature. Should there be any contradiction of Additional Terms in relation to the Terms of this agreement, the Terms shall take precedence. UsageIn order to access some Uvisor Features, the User may be required to provide some personal information. User agrees that they will provide accurate, up-to-date, and valid information when requested. The user must not use Uvisor Features to post or store content which is obscene or malicious. User may not promote illegal activities via the service nor may the User post data which is substantially untrue and invalid. The User may not make any attempt to impersonate others, or create an account which contains items that do not accurately match your background. The User will agree to use Uvisor Features in a manner which they are permitted through the Terms and by any applicable law, regulation, or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software to and from the United States or other relevant countries). User will not engage in any activity that can interfere and/or disrupt any Uvisor Features which includes Uvisor’s servers or networks which are attached to the Uvisor Features. User also agrees not to make any attempt to access nor successfully access any of Uvisor Features by any means other than the interface that is provided by Uvisor. Specifically, the User must not access Uvisor Features through any scripts, web crawlers, scrapers and/or data miners. The User will not reproduce, copy, sell, duplicate, trade or resell Uvisor Features for any purpose without authorized consent in writing from Uvisor. The User will assume the responsibility for maintaining the confidentiality of passwords associated with any account used to access Uvisor Features and the User of record accepts sole responsibility to Uvisor for all activities which occur under the User’s account. Should the User feel that the account to Uvisor Features has been compromised, they will contact Uvisor support immediately. For information about Uvisor’s data protection practices, please read Uvisor’s privacy policy at http://www.uvisor.com/privacy which explains how Uvisor handles the User’s personal information and protects your privacy when using Uvisor Features. In addition the User agrees to the use of account data in accordance with Uvisor’s privacy policies. Content & LicensingAll information posted to the Site, such as job postings, employer information, employment information, job descriptions, and career advice is referred as “Content”. Uvisor has no liability for content posted by Users and/or third-party sources. The User should be aware that Content presented on the Site, including but not limited to advertisements, sponsored Content, postings, may be protected by intellectual property rights which are owned by the sponsors or advertisers who provide that Content to Uvisor. Uvisor reserves the right, but is not bound by any obligation to pre-screen, review, flag, filter, modify, or remove any and all Content from the Site. The User also understands that by using the Site, they may become exposed to Content that may be found as offensive, objectionable and that the User uses Uvisor Features at the User’s own risk. Uvisor Features may include hyperlinks to other web sites or content resources which Uvisor may have no control over as they are provided by companies or persons other than Uvisor. The User also agrees that Uvisor is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other materials on or available from such web sites or resources. User agrees that Uvisor is not liable for any loss or damage which may be incurred by the User as a result of the availability of those external sites or resources, or as a result of any reliance placed by User on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources. The User acknowledges and agrees that Uvisor (or Uvisor’s licensors) own all legal right, title and interest in and to the Uvisor Features, including any intellectual property rights which subsist in the Service. The User may not use any of Uvisor’s trade names, trademarks, service marks, logos, domain names, or other distinctive brand features unless agreed by Uvisor in writing. The User also agrees to not remove, obscure or alter any proprietary rights notices which may be affixed to or contained within the Site. By agreeing to these Terms, Uvisor grants User a personal, worldwide, royalty-free, non-assignable, non-transferrable, and non-exclusive license to use the Uvisor Features provided that the User is in compliance with the Terms. The license is revocable at any time by Uvisor as it is provided for the sole purpose of enabling the User to utilize the Site in the manner allowed by the Terms. User acknowledges that Uvisor does not guarantee the continued or continuous availability of Uvisor, that scores and rankings, including but not limited to qualification score may change from time to time without notice, that there is no guarantee that Uvisor can help the User find a job, find a job for User’s friends, make the User money, nor does Uvisor make any warranty of any kind about User’s network and other Uvisor Features. The User may not nor may the User permit anyone else to copy, modify create a derivative work of, reverse engineer, decompile, or otherwise attempt to extract the source code of Uvisor Features or any part thereof. Third PartiesThe User shall retain copyright and any other rights held in the Content which the User submits, posts or displays on Uvisor Features, granted they are the true copyright holder. Uvisor retains the right to reproduce, adapt, modify, translate, publish, publicly display and distribute any content that the User makes public through the site. The user also acknowledges that content published may not be removed from the site in a timely manner. In addition, other websites, services and users may copy and reproduce content that you publish from the Site. Uvisor reserves the right to refrain from blocking these services, and has no control over what is done with the content the User publishes. The User also accepts that Uvisor, in performing the required technical steps to provide services to other users may transmit or distribute the User’s Content over various public networks and in various media and may also make such changes to the Content as necessary to conform and adapt that Content to the technical requirements of connecting networks, devices, services or media. User agrees that this license shall permit Uvisor to take these actions and that Uvisor has all the rights, power and authority necessary to grant the mentioned license. Agreement TerminationThe Terms of this agreement will continue to apply until terminated by either the User or Uvisor. Should the User want to terminate this legal agreement with Uvisor, it may be done by closing the accounts for all of the Uvisor Features which the User uses and by ceasing to use any and all Uvisor Features. Uvisor may at any time, terminate this agreement, should the User breach any provision of the Terms, is required to do so by law, is transitioning to no longer providing the service to users in the country which you use the service, or should Uvisor no longer become commercially viable. Copyright and Trademark PoliciesIt is Uvisor’s policy to respond to notices of alleged copyright infringement that comply with applicable international intellectual property law (including the Digital Millennium Copyright Act of the United States) and to terminating the accounts of infringers. If User believes a copyright is being infringed by the Site, User should notify Uvisor through the Contact portion of the Site. AdvertisementsSome of the Uvisor Features are support by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Site, queries made through Uvisor Features or other information. The user agrees that by Uvisor granting access to Uvisor Features, that Uvisor may place such advertising on the Site. Exclusion of WarrantiesNothing in these Terms shall exclude or limit Uvisor’s liabilities for losses which may not be lawfully excluded or limited by applicable law. Some jurisdictions do not allow the exclusions or limitation of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages. Accordingly, only the limitations which are lawful in the User’s jurisdiction will apply and Uvisor’s liability will be limited to the maximum extent permitted by law. The User expressly understands and agrees that the use of Uvisor Features is at the User’s sole risk and that the Uvisor Features are provided as is and as available. Specifically, Uvisor, Its subsidiaries and affiliates, and its licensors do not represent or warrant to the User that the use of the service will meet the User’s requirements; the use of the Site will be uninterrupted, timely, secure or free from error; any information obtained by User as a result of the use of service will be accurate or reliable; and that defects in the operation or functionality of any software provided to you as part of the service will be corrected. Any material downloaded or otherwise obtained through the use of the service is done at the User’s own discretion and risk and that you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material. No advice or information, whether oral or written, obtained by the User from Uvisor or through or from the Site shall create any warranty not expressly stated in the Terms. Uvisor further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement. Subject to overall provision above, the User expressly understands and agrees that Uvisor, its subsidiaries and affiliates, and its licensors shall not be liable to the User for any direct damages beyond fees paid in the prior 12 months leading to the damages; any incidental, special consequential or exemplary damages which may be incurred by the User, however caused and under any theory of liability. This shall include, but not be limited to, any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation, any loss of data suffered, cost of procurement of substitute goods or service, or other intangible loss; any loss or damage which may be incurred by the User, including but not limited to loss or damage as a result of:
